1. AGREEMENT TO OUR LEGAL TERMS

We are Mantlecrust Limited (“Company,” “we,” “us,” “our”), a limited company incorporated in the Republic of Kenya (Company No. ______), with registered office at Mumias, P.O. Box 11 Bookers, Kakamega County, Kenya

We operate the website https://mantlecrust.odoo.com/ (the “Site”) and provide professional services including construction, consultancy, energy, logistics, supply chain, technology, digital media, branding, advertising, event planning, and business consulting (the “Services”) (LinkedIn).

These Terms & Conditions (this “Agreement”) govern your access to and use of our Services. By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must stop using the Services immediately.

We may supplement these terms with additional documents (e.g. Privacy Policy, specific service agreements), which are incorporated by reference. We reserve the right to revise this Agreement at any time by updating the “Last updated” date. Continued use after updates constitutes acceptance.

The Services are intended for users aged 18 or older. Minors may use the Services only under parental supervision and with parental agreement. You should retain a copy of these terms for your records.

2. OUR SERVICES

We provide advisory and delivery of services in construction, consultancy, energy, logistics, supply chain, and technology, as well as marketing, advertising, event planning, digital branding and printing services.

  • Services may require user registration, submission of accurate company or individual details, and acceptance of quotations or proposals.
  • Any contracts, deliverables, or engagements are conducted in English.
  • For paid Services, registered clients will have access to billing summaries or invoices.

3. INTELLECTUAL PROPERTY RIGHTS

Our Rights

All intellectual property rights in the Site and Services—designs, layouts, text, graphics, software, logos, and other content (“Content”)—belong to or are licensed by us. These are protected under Kenyan and international laws.

Your Use

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive license to access and use the Site and Services for internal business purposes only.

4. USER REPRESENTATIONS

By using the Services, you declare that you:

  1. Provide truthful, accurate, and current registration details.
  2. Are at least 18 years old (or have parental consent as applicable).
  3. Agree to comply with this Agreement and applicable laws.
  4. Will not use automated tools to access the Services.
  5. Will not use the Services for illegal or unauthorized purposes.

We may suspend or terminate your account if you breach any of these representations.

5. USER REGISTRATION

Registration may be required to access certain Services. You must keep your credentials secure. You are responsible for all activity under your account. We reserve the right to refuse usernames deemed inappropriate.

6. FEES, PAYMENTS & REFUNDS

Payment Terms

  • We accept payments via mobile money or bank transfer in Kenyan Shillings or other currencies as agreed.
  • Fees and payment intervals will be clearly stated in engagement proposals or invoices. Recurring services auto-renew unless cancelled.

Cancellation & Refunds

  • You may cancel services according to notice periods specified in individual contracts.
  • Unless otherwise explicitly stated, all fees are non-refundable.
  • Refunds, if issued, are at our sole discretion and within 30 calendar days of payment.

7. PROHIBITED ACTIVITIES

You agree not to:

  • Use the Services for unlawful, fraudulent, or harmful purposes.
  • Submit content that violates intellectual property, privacy rights, is defamatory, harassing, or discriminatory.
  • Transmit unsolicited advertising, spam, or mass mailings.

We may remove or disable content, and suspend access without notice for violations.

8. FEEDBACK

You grant us the right to use any suggestions, feedback, or ideas you submit without obligation or compensation to you.

9. SERVICE MANAGEMENT & AVAILABILITY

We may monitor usage, enforce policies, suspend or terminate accounts, and remove content as necessary. We are not liable for interruptions, delays, or downtime.

10. PRIVACY POLICY

Our Privacy Policy governs how we handle personal data. By using the Services, you agree to our privacy practices, including processing data in Kenya and other jurisdictions as required.

11. TERM & TERMINATION

This Agreement remains in effect while you use the Services. We may suspend or terminate your access at any time, with or without notice. Termination does not affect accrued rights or obligations.

12. CHANGES TO SERVICES

We may modify, suspend, or discontinue features or Services at our discretion, without liability. We are not obligated to support or update any aspect of the Services.

13. GOVERNING LAW

This Agreement is governed by the laws of the Republic of Kenya. Disputes will be subject to the exclusive jurisdiction of the Kenyan courts.

14. DISPUTE RESOLUTION

Any dispute will initially be attempted to be resolved amicably. If unresolved, disputes may only be litigated in Kenyan courts. Class action or representative claims are not permitted.

15. DISCLAIMER

The Services are provided “as‑is.” We disclaim all warranties, express or implied, including merchantability or fitness for a particular purpose. We make no representation regarding accuracy, completeness, or availability of the Services or any linked third-party resources.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, punitive, or consequential damages. Our total liability to you shall not exceed the amounts paid to us in the prior six months.

17. INDEMNIFICATION

You agree to indemnify and hold us harmless from any third-party claims arising from your use of the Services, breach of these Terms, or violation of rights.

18. USER DATA

You are responsible for the data you provide. We perform backups but disclaim liability for data loss or corruption.

19. ELECTRONIC COMMUNICATIONS

Electronic communications (e‑mail, online forms) count as legal communications. You agree to electronic delivery of notices and to use electronic signatures.

20. MISCELLANEOUS

This Agreement is the full understanding between you and us. If any provision is held unenforceable, it will be severed with no impact on the rest. We may assign our rights; our failure to enforce any provision is not a waiver. No joint venture or agency is established by this Agreement.
